Terms of Service

Governed by the laws of the State of Minnesota, USA. Privacy practices are designed to comply with the California Consumer Privacy Act (CCPA/CPRA) and we extend these rights to all users.

1. Agreement to Terms

Welcome to Roadscue. These Terms of Service ("Terms") form a binding agreement between you and Roadscue, Inc. ("Roadscue," "we," "us," or "our"), a company organized under the laws of the State of Minnesota. These Terms govern your access to and use of the Roadscue customer application, the Roadscuer provider application, our websites at roadscue.com and nearby.roadscue.com, and any related services (collectively, the "Services"). By creating an account, requesting a service, accepting a job, or otherwise using the Services, you agree to be bound by these Terms.

2. Who We Are and What We Do

Roadscue operates a technology platform that connects drivers in need of roadside assistance with independent third-party Roadside Assistance Providers ("RAPs"), Mobile Assistance Technicians ("MATs"), and Service Assistance Technicians ("SATs") (collectively, "Providers"). Roadscue is a marketplace and technology provider only. We do not provide roadside, towing, mechanical, or transportation services, and we are not a transportation carrier, motor club, broker, or insurance provider. All services are performed by independent Providers who are solely responsible for the work they perform.

3. Eligibility

  • You must be at least 18 years old to use the Services.
  • You must provide accurate, current, and complete information.
  • You must have the legal authority to request service for the vehicle involved.
  • Providers must additionally hold all licenses, registrations, insurance, and certifications required by Minnesota (or the state in which services are performed) and local law to perform the services they offer.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@roadscue.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms, engage in fraud, or create safety risks.

5. Requesting Service (Customers)

When you request roadside assistance, you authorize Roadscue to share your name, vehicle, location, and request details with one or more Providers so they can respond. Quoted prices, ETAs, and availability are estimates provided by Providers and may change based on actual conditions encountered on site (e.g., vehicle access, additional services, after-hours rates, tow distance, or special equipment).

You agree to be present (or to have an authorized adult present) at the service location, to provide accurate vehicle and location information, and to follow reasonable safety instructions from the Provider.

6. Pricing, Payment, and Tips

  • Final price is determined by the Provider based on the services actually performed, parts/supplies used, distance, time, and any after-hours or specialty surcharges.
  • Payment is processed through our third-party payment processor (Stripe). By providing a payment method, you authorize charges for the agreed services, applicable taxes, fees, tips, and any documented additional services performed at your request.
  • Tips are optional and go entirely to the Provider. Roadscue may charge a platform fee, which is included in the price you see before confirming.
  • Refunds are handled on a case-by-case basis. Disputes must be submitted within 30 days of the service date to support@roadscue.com.

7. Cancellations and No-Shows

You may cancel a request before a Provider is dispatched at no charge. Once a Provider has accepted and is en route, a cancellation fee may apply to compensate the Provider for time and travel. No-show or unsafe conditions discovered on arrival may also result in a trip/dispatch fee.

8. Provider Terms (RAP / MAT / SAT)

If you use the Services as a Provider, you represent and warrant that:

  • You are an independent contractor, not an employee, agent, partner, or joint venturer of Roadscue.
  • You hold and will maintain all required state driver's licenses, vehicle registrations, motor carrier permits (where applicable), and commercial liability and (where applicable) on-hook/garage-keepers insurance with limits no lower than required by applicable state and federal law.
  • You are responsible for your own taxes, withholdings, equipment, vehicles, fuel, supplies, and business expenses.
  • You will perform services in a safe, professional, and lawful manner, in compliance with the Minnesota Vehicle Code, Minnesota State Patrol regulations, and all applicable state and local ordinances where services are performed.
  • You will not discriminate against any customer in violation of the Minnesota Human Rights Act or any other applicable anti-discrimination law.
  • You consent to background checks, vehicle inspections, document verification, and ongoing performance monitoring as a condition of being on the platform.

Roadscue may set service standards, quality thresholds, response-time expectations, and deactivation criteria. Failure to meet these standards may result in suspension or removal from the platform.

9. Photos, Reports, and Content You Submit

You may upload photos, notes, and reports through the Services (for example, helper reports referring stranded drivers, or proof-of-service photos). You retain ownership of your content. By submitting it, you grant Roadscue a worldwide, royalty-free, sublicensable license to host, display, reproduce, and use that content to operate, improve, and promote the Services, and to comply with legal obligations. You represent that you have the rights to submit the content and that it does not violate the privacy or rights of others.

10. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or harmful purposes;
  • Submit false reports, fake jobs, or impersonate another person;
  • Interfere with, scrape, or reverse-engineer the Services;
  • Harass, threaten, or endanger Providers, customers, or staff;
  • Circumvent the platform to transact off-platform for jobs originated through Roadscue.

11. Communications and Notifications

By using the Services, you consent to receive transactional SMS, email, push notifications, and phone calls related to your requests and account (e.g., dispatch updates, ETA, payment receipts, verification codes). Standard message and data rates may apply. You can opt out of marketing messages at any time by following the unsubscribe instructions or by emailing support@roadscue.com. Transactional service messages are required to operate your account and cannot be opted out of while you maintain an active account.

12. Third-Party Services

The Services rely on third-party tools, including Google Maps, Stripe, Twilio, push notification providers, and authentication providers. Your use of those features is also subject to the third party's terms and privacy practices. Roadscue is not responsible for third-party services.

13. Disclaimers

THE SERVICES, INCLUDING ALL CONTENT, PROVIDER LISTINGS, ETAs, AND PRICE ESTIMATES, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. ROADSCUE DOES NOT WARRANT THE CONDUCT, QUALIFICATIONS, OR PERFORMANCE OF ANY PROVIDER OR CUSTOMER. ANY DAMAGE, INJURY, OR LOSS ARISING FROM SERVICES PERFORMED BY A PROVIDER IS THE RESPONSIBILITY OF THE PROVIDER AND/OR THEIR INSURER.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY MINNESOTA LAW, ROADSCUE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR VEHICLE VALUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. ROADSCUE'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO ROADSCUE IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow limitations on certain damages; in those cases the above limits apply to the fullest extent permitted by law and nothing in these Terms limits liability for gross negligence, willful misconduct, fraud, or any liability that cannot be excluded by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Roadscue and its affiliates from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) your violation of these Terms or any law, (c) your content, or (d) for Providers, services you perform for customers introduced through the platform.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law principles. Subject to the arbitration section below, the exclusive jurisdiction and venue for any dispute will be the state or federal courts located in the county where Roadscue maintains its principal place of business in Minnesota, and you consent to personal jurisdiction there.

17. Arbitration Agreement and Class Action Waiver

PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS. Except for small-claims matters and requests for injunctive relief to protect intellectual property, you and Roadscue agree to resolve any dispute arising out of or relating to these Terms or the Services through final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Minnesota. You and Roadscue waive any right to a jury trial and to participate in a class, collective, or representative action, except as prohibited by applicable law. You may opt out of this arbitration agreement by emailing support@roadscue.com within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your full name and account email.

18. Changes to the Services or Terms

We may modify the Services or these Terms at any time. Material changes will be notified through the app, by email, or by updating the "Effective date" above. Continued use after changes take effect constitutes acceptance.

19. Termination

You may stop using the Services at any time. We may suspend or terminate your access for any violation of these Terms, suspected fraud, or safety concerns. Sections that by their nature should survive termination (including payment obligations, disclaimers, liability limits, indemnification, governing law, and arbitration) will survive.
